Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the LyncView project management service (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The Service is operated by the company identified at the bottom of these Terms ("LyncView", "we", "us", or "our").

2. Description of Service

LyncView is a cloud-based project management platform that provides checklist tracking, client transparency portals, AI-powered email processing, and related tools. The Service is provided on a subscription basis. We may add, modify, or remove features over time.

3. Accounts & Eligibility

You must be at least 18 years old and able to enter into a binding contract to create an account. You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized access at support@lyncview.com.

4. Subscriptions & Billing

Paid plans are billed monthly or annually depending on the plan you select. Free trials, where offered, do not automatically convert to paid subscriptions; no payment method is required to start a trial and no charge occurs at the trial's end. After the trial, your account drops to a read-only tier until you choose to subscribe. You may cancel a paid subscription at any time from inside the Service or by emailing support; access continues through the end of your current billing period.

14-day refund. If you subscribe to a paid plan and decide within 14 days of your first paid charge that LyncView is not the right fit, email support@lyncview.com and we will refund that first charge in full. The 14-day window applies to your initial paid subscription only. After that, you can cancel at any time to stop future billing, but partial-period and renewal-period refunds are not provided except where required by law or where we determine, at our discretion, that a billing error occurred.

Prices are listed in U.S. dollars and may be updated from time to time. We will give you reasonable notice of price changes that affect your subscription.

5. Your Data

You retain all rights, title, and interest in the data you upload to LyncView ("Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide the Service. We do not sell your Customer Data. You may export or delete your Customer Data at any time. Upon account deletion, Customer Data is removed within 30 days, except where retention is required by law.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any law or regulation;
  • Transmit malware, spam, phishing content, or unlawful material;
  • Attempt to gain unauthorized access to other accounts, the Service's infrastructure, or its underlying data;
  • Interfere with the operation or integrity of the Service, including by reverse-engineering or scraping at scale;
  • Impersonate any person or misrepresent your affiliation with any person or entity.

We may suspend or terminate accounts that violate these rules, with or without notice.

7. AI Features

AI email processing features analyze email content to suggest project updates. AI suggestions are recommendations only — you must review and approve all actions before they are applied. AI output may contain errors; you are responsible for verifying anything you act on. AI features are subject to per-plan usage limits and may be updated, paused, or replaced as our underlying providers change.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Intellectual Property

LyncView and its software, branding, and content are owned by us and our licensors and are protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable right to use the Service for its intended business purpose during the term of your subscription. You may not copy, modify, distribute, sell, or lease any part of the Service.

10. Warranty Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, LyncView is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim arising out of (a) your violation of these Terms, (b) your Customer Data, or (c) your violation of any third-party right, including any intellectual property or privacy right.

13. Termination

You may terminate your subscription at any time. We may suspend or terminate your access for material breach of these Terms. Sections 5, 9, 10, 11, 12, and 14 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will be resolved in the state or federal courts located in New York. You and we each waive any right to a jury trial.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email to active account holders. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Severability

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of that provision.
